Earnest Money vs Down Payment What’s the Difference and Can You Get a Refund if Your Loan is Rejected

Understanding Earnest Money and Down Payment in Thai Property Transactions

When you decide to purchase property in Thailand, whether it’s a condominium, a detached house, or land, two terms often cause confusion for buyers, especially foreigners: “Earnest Money” (เงินมัดจำ) and “Down Payment” (เงินดาวน์). Both have significant legal implications and can differ greatly, particularly in scenarios where a bank loan is rejected. This article from SUN Gateway will clarify the distinctions and your rights to a refund.

What is Earnest Money

Earnest money is an initial sum paid by the buyer to the seller at the beginning of a Sale and Purchase Agreement (SPA) to serve as a guarantee of the buyer’s genuine intent to purchase the property. It legally binds the agreement, preventing either party from backing out without consequences. Typically, earnest money is a relatively small amount compared to the total property price.

  • Purpose To confirm the buyer’s intention and bind the contract.
  • Legal Implication If the buyer defaults (e.g., changes their mind), the seller may forfeit the earnest money. However, if the seller defaults (e.g., sells to another party), they may be required to refund the earnest money along with a penalty as stipulated in the contract.

What is a Down Payment

A down payment is a portion of the total property price that the buyer must pay to the seller, separate from any loan amount from financial institutions. Down payments are often paid in installments according to project progress or as agreed in the SPA, until the full amount is paid before title transfer.

  • Purpose To constitute part of the property’s purchase price.
  • Legal Implication This is a payment towards the purchase obligation. If a default occurs, down payments already made may be forfeited or subject to more complex refund conditions than earnest money.

If Your Bank Loan is Rejected Can You Get a Refund

This is a critical question for many buyers, and the answer is “it depends on the terms of your contract.”

For Earnest Money

Regarding earnest money, if the Sale and Purchase Agreement clearly states that “should the buyer be unable to secure a loan from a bank, the seller shall refund the earnest money,” then you are entitled to a refund. However, if this condition is not explicitly stated in the contract, the seller may legally be entitled to forfeit the earnest money, as the buyer is considered to have defaulted by not being able to complete the payment.

For Down Payment

For down payments already made, if the bank loan is rejected and the contract does not explicitly state a refund condition for the down payment, the seller is generally not obligated to return the down payment to the buyer. Penalties or forfeiture of the paid down payment may apply as per the contract.
